Before 1984, each emirate, Dubai, Abu Dhabi, Sharjah, Ajman, Ras Al Khaimah, Umm Al Quwain and Fujairah, followed its own procedures with regard the operation of foreign business interests. Federal Law No. 8 of 1984, its amendment by Federal Law No.13 of 1988, the Commercial Companies Law and its by-laws have since been issued. The law makes it conditional that nationals must wholly own the companies or that national must own at least 51% of its share capital, while the remaining 49% may belong to foreigners. The law provides that commercial companies established in the U.A.E must take any of the following legal forms:

A company incorporated in any UAE Free Zones shall be registered as follows;

An FZE or FZC has many inherent benefits. For instance, since it is independent of its owner (individual or non-individual), it can retain its profits. This plays an important role in international business planning. Also, as the FZE or FZCO can use its international name or identity, its marketing activities will remain unaffected. The liability of a single shareholder is limited to the amount of the paid-up share capital.

  1. FZE (Free Zone Establishment) a limited liability establishment incorporated in Free Zone, owned by one natural or juridical person with a distinct legal entity and an independent financial liability. (Minimum capital requirement varies from one Free Zone to the other).
  2. FZC (Free Zone Company) a limited liability company incorporated in Free Zone, by more then one shareholder with a distinct legal entity and an independent financial liability. (Minimum capital requirement varies from one Free Zone to the other).
  3. Branch of a foreign limited liability company incorporated outside the UAE.
